Terms of Service

OkGate is a free, ad-supported society and gated-community management platform owned and operated by Honco Pvt. Ltd. ("Honco", "we", "us", "our"). These Terms of Service (the "Terms") are a legally binding agreement between you and Honco, and they govern your access to and use of the okgate.co website, our mobile applications for residents, guards and committees, our admin and platform panels, and all related software, features and services (together, the "Platform"). OkGate is software that residents' welfare associations, apartment societies and gated communities (each an "RWA" or "Society") use to run their day-to-day community operations — visitor and gate management, maintenance billing, accounting, complaints, notices, amenities, staff and safety alerts. The Society is the operator of its own community; OkGate provides the tools. Please read these Terms carefully. By creating an account, or by accessing or using any part of the Platform, you agree to be bound by these Terms and by our Privacy Policy (available at okgate.co/privacy), which is incorporated into these Terms by reference. If you do not agree, please do not use the Platform. These Terms take effect on the date you first accept them, and this version is kept in lockstep with the corresponding version of our Privacy Policy; if we materially update one, we will review and, where needed, update the other.

Acceptance of These Terms and Eligibility

By accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you use the Platform on behalf of a Society, committee, or other organisation, you additionally accept these Terms on that entity's behalf, and references to "you" include that entity.

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to create an account or use the Platform on your own behalf. Certain features involve children — for example, a kid-exit authorization where a resident authorizes a child to leave the gate — but those features are operated by and for adult residents and staff; children do not hold their own accounts. If you provide information about a minor (such as a child named in a kid-exit authorization or a family member), you confirm you are that minor's parent or lawful guardian, or are otherwise authorized to provide that information.

If you are registering a Society, onboarding a community, or acting in a committee, society-admin or platform-admin role, you represent and warrant that you are duly authorized by that Society or entity to bind it to these Terms, to configure the Platform for it, and to make decisions about its residents' and members' operational data.

Definitions

In these Terms, the following words have the meanings given below. Other capitalised terms are defined where they first appear.

  • "Platform" means the OkGate website (okgate.co), mobile apps, admin and platform panels, APIs, and related software and services.
  • "Society" or "RWA" means a residents' welfare association, apartment society, housing society, or gated community that is onboarded onto the Platform as a tenant, together with its authorized committee and administrators.
  • "You" or "User" means any person who accesses or uses the Platform, including residents (owners and tenants), family or co-residents, guards, committee members, society admins, and platform admins.
  • "Resident" means an owner, tenant, or authorized member of a household in a Society who uses the resident app.
  • "Content" means any information, text, images, photos, documents, listings, notices, complaints, messages, ratings, votes, or other material submitted, uploaded, or generated by users through the Platform.
  • "Dues" means maintenance charges, arrears, late fees, taxes, deposits, and any other amounts a Society levies on its residents through the Platform.
  • "Gateway" means a third-party payment service provider (such as Razorpay) used to process online payments.
  • "Ads" means advertising content displayed within the Platform to fund the free service.
  • "Data Fiduciary" and "Data Processor" have the meanings given to them under the Digital Personal Data Protection Act, 2023, and are further explained in our Privacy Policy.

Description of the Service

OkGate is a multi-tenant software-as-a-service platform for residential communities. It is provided to Societies and their authorized users to help them manage community operations. Each Society is a separate tenant; the Platform is designed to keep one Society's data isolated from another's.

Depending on your role and your Society's configuration, the Platform may offer features including: visitor and gate management (pre-approvals, QR/passcode passes, spot entry with photo capture, and entry/exit logging with an audit trail); maintenance billing and payments (invoices, dues, arrears, late fees, GST, receipts, and online or offline payment); society accounting (ledgers, GST/TDS, vouchers, bank accounts, and Tally export); helpdesk and complaints; amenity booking; daily-help and staff management (including attendance, which may use manual, QR, or facial-recognition "Smart-Eye" methods); community tools (notices, polls, elections, surveys, meetings, documents, and groups); a resident marketplace; an SOS panic button; in-app messaging; parking and vehicle records; procurement; move in/out requests; kid-exit authorizations; and personal reminders.

Safety-related features — such as visitor verification, gate management and the SOS panic button — are provided on a best-effort basis to assist your community. They are not a security, emergency, or law-enforcement service and must not be relied upon as a substitute for one (see Section 14 and the Disclaimers in Section 18).

Not every feature is available to every user or every Society. A Society decides which features to enable, how to configure them, and who within the community may use them. We may add, change, suspend, or remove features at any time. The Platform is intended primarily for use in India; some features and settings (for example, multi-currency billing) may also be offered for communities in the UAE. We provide the software; your Society operates the community.

Please note that the Platform may still carry legacy "WiseGate" branding in some places (for example, in code, file names, or logos); the customer-facing product is OkGate, operated by Honco Pvt. Ltd.

The Relationship Between OkGate, Your Society, and You

OkGate is the software provider. Your Society (RWA) is the operator, tenant and customer that uses OkGate to run its community. This distinction is important because it affects who is responsible for what.

OkGate plays two different data-protection roles depending on the type of data, and this affects who is accountable for it. For your OkGate account and platform-level data — for example, your login identity (name, phone, optional email, hashed password), device push tokens, advertising-measurement data, and our own security and audit logs — Honco is the Data Fiduciary and is directly responsible to you under the Digital Personal Data Protection Act, 2023. For the operational data a Society manages inside OkGate about its residents and community — such as membership and tenancy records, family members, vehicles, visitor logs, complaints, billing, and staff records — the Society is the Data Fiduciary and OkGate acts on the Society's instructions as its Data Processor under a written data-processing agreement.

Because your Society is the decision-maker for operational data, it — not OkGate — sets community rules, decides charges, approves memberships, moderates community content, and handles disputes among its residents. Please refer to our Privacy Policy at okgate.co/privacy for a full explanation of these dual roles and of the rights you can exercise directly with us versus through your Society.

A Society is onboarded first; it then invites residents by phone, configures its blocks, flats and gate settings, and issues the guard app or gate device to its guards. Individual residents are members within their Society's tenant. Your rights and obligations toward your Society (for example, your obligation to pay Dues, or your right to raise a complaint) arise from your relationship with the Society, not from your relationship with Honco.

Accounts, Login, and Role-Based Access

You must have an account to use most of the Platform. Residents and guards sign in to the app using their mobile phone number and a six-digit one-time password (OTP) sent by SMS. Committee members, society admins, and platform admins may sign in to admin or platform panels using an email address and password, or a phone number with an OTP or password.

The Platform uses role-based access control. Your access is determined by your role and scope — for example, Resident, Guard, Committee, Society-admin (SOCIETY scope), or Platform-admin (PLATFORM scope). A single user may hold memberships across more than one Society or role, and the Platform selects a primary membership on login. You agree to access only those features, communities, and data that your role and memberships authorize, and not to attempt to access any other Society's data or any role or function you are not entitled to.

Joining a Society is approval-gated: when you request to join a Society and flat, your request is created as pending and must be approved by the existing flat owner (if any) or by the society admin before it becomes active. You cannot request the same flat twice while a request is active or pending. We do not control whether or how quickly your Society approves you.

  • You are responsible for keeping your login credentials, OTPs, and devices secure and confidential.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you, except to the extent caused by our failure to meet our own obligations.
  • You agree to provide accurate information, to keep it up to date, and not to impersonate any other person or misrepresent your affiliation with any Society or role.
  • You must notify us or your Society promptly if you suspect any unauthorized use of your account. We may suspend or terminate access to protect the Platform or its users.

Account Security

We take reasonable technical and organisational measures to protect the Platform, including role-based access controls, session management with short-lived access tokens and revocable refresh tokens, encryption of data in transit, and encryption of certain stored configuration (such as provider credentials). No online service, however, can be completely secure, and we cannot guarantee absolute security.

You acknowledge that account security also depends on you: keeping your phone number and email current, protecting access to the device that receives your OTPs, not sharing OTPs or passwords, and logging out on shared devices. You are responsible for the security of any password you set. We disclaim liability for loss or damage arising from your failure to safeguard your credentials, OTPs, or devices, or from unauthorized access that results from that failure.

The Free, Ad-Supported Model

OkGate is provided free of charge to Societies and residents. There is no subscription, no per-flat fee, and no charge from Honco for the core community-management software. The Platform is free because it is ad-supported: advertising helps us keep the Platform free.

You agree that we may display advertising within the Platform, primarily in the resident app (for example, on home, feed, splash, or marketplace surfaces). Advertising is contextual — targeted at most by Society and by region (such as state or city) — and we do not build behavioural or interest profiles of you for advertising, and we do not sell your personal data to advertisers. Advertisers receive only aggregated, non-identifying reach and performance information. Committee tools and the guard app are ad-free.

Ads and the destinations they link to are third-party content that we merely display. We do not endorse, and are not responsible for, any advertised product, service, or third-party website. Any dealings you have with an advertiser are solely between you and that advertiser. We may earn advertising revenue and may, at our discretion, share a portion of it with Societies; nothing in these Terms entitles any Society or user to any particular share of advertising revenue.

We reserve the right to introduce optional paid plans or features in the future. If we do, we will make the applicable terms and prices clear before you choose to purchase, and using the core free service will not require payment to Honco.

Payments — Maintenance Dues and Other Charges

Maintenance Dues and other charges shown in the Platform are set by, owed to, and collected on behalf of your Society — not by or to Honco. OkGate is not the merchant of record, the seller, or the recipient of your Dues. We provide software that helps your Society raise invoices and helps you pay them. OkGate never holds, receives, or takes custody of your Dues funds: there is no OkGate escrow, nodal, or pooled account, and OkGate does not act as a payment aggregator.

When you pay online, OkGate facilitates the payment through a third-party payment gateway (such as Razorpay). Each Society typically configures its own payment-gateway account, and funds settle directly to the Society, not to Honco. You enter your card, UPI, or bank details directly with the gateway; those payment-instrument details do not pass through OkGate's servers, and the gateway acts as an independent payment processor under its own terms. A payment is recorded against your invoice only after the gateway confirms it (for online payments, on a verified capture confirmation); your Society may also record offline payments (such as cash or cheque) manually.

Online payments are only available for a Society that has configured a payment gateway; where it has not, online payment will be unavailable and you will need to pay your Society by other means it offers.

Refunds, adjustments, waivers, cancellations, and disputes over Dues are the responsibility of your Society and are governed by your Society's own policies. OkGate does not process payment refunds, reversals, or chargebacks, and the Platform does not perform online refunds of Dues. If you believe an invoice is incorrect or you are owed a refund or adjustment, you must raise it with your Society (and, where relevant, pursue it through the payment gateway). We are not a party to, and are not responsible for, the underlying obligation to pay, the amount charged, or any refund or dispute between you and your Society.

Resident Marketplace and Other Resident-to-Resident Dealings

The Platform includes a resident marketplace where residents may post listings (with a title, price, photos, and location) to buy or sell items within their Society. These listings are user-generated content posted by residents. OkGate provides only a listing board.

OkGate is not the seller, buyer, agent, broker, or a party to any marketplace transaction. There is no in-app checkout, cart, escrow, payment, or commission for marketplace listings, and we do not verify sellers, buyers, items, prices, or the accuracy of any listing. Any sale is arranged and settled directly between residents, off-platform, at their own risk.

We make no representation or warranty about any listed item's existence, quality, safety, legality, price, or fitness, or about any resident's ability or willingness to complete a transaction. You are solely responsible for exercising due diligence before buying from or selling to another resident. To the fullest extent permitted by law, we disclaim all liability for goods, quality, price, payment, delivery, or any loss or dispute arising from marketplace or other resident-to-resident dealings.

User-Generated Content and Licence

You may submit, upload, or generate Content through the Platform — for example, complaints and photos, notices and attachments, marketplace listings and photos, messages, ratings and reviews, poll votes, and documents. You retain ownership of your Content.

By submitting Content, you grant Honco a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (for formatting and display), and display that Content, solely to operate and provide the Platform — including displaying it to the relevant Society and roles, backing it up, and complying with law. This licence lasts as long as we host the Content and is limited to running the Platform; it does not permit us to sell your Content or to use it for advertising targeting.

You are responsible for your Content and for any consequences of posting it. You represent and warrant that you own or have all necessary rights to the Content you submit and that it does not infringe anyone's intellectual-property, privacy, publicity, or other rights. Where your Content includes information about another person (for example, photos, ratings, or details of visitors, staff, or family members), you agree that you are entitled to share it and that, where you are personally required to, you have informed that person. This is a practical assurance we ask of you to help the community function; it does not by itself make you a Data Fiduciary or transfer legal responsibility to you. Under the Digital Personal Data Protection Act, 2023, the obligation to give notice to, and where required obtain the consent of, those individuals sits with the Society as Data Fiduciary (with OkGate as its Processor), not with the individual resident who entered the record. You must not upload media or documents you do not have the right to share.

We may host user-uploaded media and documents in third-party object storage and reference them by URL. We do not routinely pre-screen Content, but we and your Society may review, moderate, or act on it as described in the Acceptable Use and Content Moderation sections below.

Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms, your Society's rules, and applicable Indian law, including the Information Technology Act, 2000 and the rules made under it. You must not use the Platform in any way that is unlawful, harmful, or infringes the rights of others.

In particular, you agree not to:

  • Post or transmit Content that is unlawful, defamatory, obscene, harassing, hateful, threatening, invasive of privacy, false or misleading, or that infringes any intellectual-property or other right;
  • Misuse visitor, gate, security, biometric, or personal data — for example, by accessing, copying, sharing, or exploiting visitor logs, photos, staff attendance or facial-recognition data, kid-exit details, or resident information for any purpose other than legitimate community operations;
  • Impersonate any person, misrepresent your role, affiliation, or membership, or attempt to gain access to any Society, account, role, or data you are not authorized to access;
  • Interfere with, disrupt, probe, scrape, reverse-engineer, or attempt to circumvent the security, access controls, tenant isolation, or intended operation of the Platform;
  • Introduce malware, or use the Platform to send spam or unsolicited communications;
  • Use the SOS, gate, or safety features maliciously, deceptively, or to raise false alarms;
  • Use the Platform to violate any law, or to harass, stalk, or endanger any person, including any child;
  • Post content that you are not authorized to post about another person, or that reveals another person's personal data without a lawful basis.

Content Moderation, Removal, and Reporting

We and your Society may review, flag, restrict, hide, or remove any Content, and may suspend or restrict any account, where we reasonably believe the Content or conduct violates these Terms, your Society's rules, or applicable law, or is otherwise objectionable, harmful, or unlawful. Listings and other Content that are flagged may be hidden from view pending review.

As an intermediary under Indian law, we act on lawful takedown requests and cooperate with competent authorities. If you believe Content on the Platform is unlawful or infringes your rights, or violates these Terms, you may report it to us at grievance@okgate.co, or to your Society's committee for community content. We aim to acknowledge and address valid reports in accordance with applicable law and the timelines set out in Section 23.

Nothing in this section obliges us to monitor Content, and we are not responsible for Content that we have not been made aware of, consistent with the safe-harbour protections available to intermediaries under the Information Technology Act, 2000.

Responsibilities of Societies as Operators

If you are a Society, committee, or society-admin, you are the operator of your community on the Platform. You are responsible for how you configure and use OkGate and for your community's data and decisions.

In particular, you agree that you are responsible for: obtaining any consents and providing any notices required for you to collect and process your residents', family members', staff' and visitors' personal data (including sensitive data such as photos, facial-recognition attendance, KYC status, vehicle numbers, and children's details); setting lawful and fair charges and levies; approving and managing memberships; moderating your community's content; configuring your own payment gateway and reconciling and handling refunds, adjustments, and disputes over Dues; and complying with all laws applicable to you as an RWA and as a Data Fiduciary, including the Digital Personal Data Protection Act, 2023. As explained in Section 4 and in our Privacy Policy, for your community's operational data the Society is the Data Fiduciary and OkGate acts as your Data Processor.

You will use the Platform, and will ensure your committee members and staff use it, only for legitimate community-management purposes, and you will not misuse residents' or visitors' data. Your obligations regarding personal data are further described in our Privacy Policy and in any data-processing agreement between your Society and Honco. You agree to indemnify Honco for claims arising from your acts or omissions as operator, as set out in the Indemnity section.

Biometric, Photo, and Children's Data; Safety Features

Some features capture personal and potentially sensitive data — for example, visitor photos captured at the gate, facial-recognition ("Smart-Eye") attendance for domestic help and staff, KYC status, vehicle numbers, and kid-exit authorizations that involve a child's name and who is escorting them. Where such features are enabled, the Society, as Data Fiduciary for this operational data, is responsible for ensuring that appropriate consent has been obtained from the individuals concerned (or their parent or guardian, in the case of a child) and that any signage or notice required for photo or CCTV capture at the gate is displayed.

By using features that capture your photo, image, biometric, or facial data, or by enabling such features for staff you manage, you help confirm to us that the necessary consent has been obtained; as explained in Section 10, this practical assurance does not by itself transfer the Society's legal responsibility as Data Fiduciary to you. If you do not consent, you should not use — or should ask your Society not to require you to use — those features. We process this data on the Society's instructions as described in the Privacy Policy.

Safety features such as the SOS panic button, visitor verification, and gate management are provided on a best-effort basis to assist your community. They depend on network connectivity, device availability, guard and resident action, and correct configuration, and the guard app may operate offline and sync later. They are not a substitute for professional security, emergency, or law-enforcement services. See the Disclaimers section below.

Third-Party Services

The Platform relies on and links to third-party services — for example, payment gateways (such as Razorpay), SMS/OTP providers, cloud and object storage, push-notification providers, maps, and advertisers and their linked destinations. These services are provided by independent third parties under their own terms and privacy policies.

We are not responsible for, and do not control, the acts, omissions, availability, accuracy, security, or content of any third-party service, website, or product, even where it is accessed through or integrated with the Platform. Your use of a third-party service is at your own risk and subject to that third party's terms. Any dispute arising from a third-party service (including a payment gateway or an advertised product) is between you and that third party.

Intellectual Property

The Platform, and all software, source code, designs, text, graphics, logos, trademarks (including "OkGate"), and other materials that make up the Platform (excluding your Content and third-party content) are owned by or licensed to Honco Pvt. Ltd. and are protected by intellectual-property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. You may not copy, modify, distribute, sell, licence, reverse-engineer, or create derivative works of the Platform, or remove or obscure any proprietary notice, except as expressly permitted by these Terms or by law. All rights not expressly granted are reserved by Honco.

If you provide us with feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.

Privacy

Your privacy matters to us. Our Privacy Policy, available at okgate.co/privacy, explains what personal data we collect, how and why we use it, who we share it with, how long we keep it, your rights, and the different roles Honco plays. As explained there and in Section 4, Honco is the Data Fiduciary for your account and platform-level data (which you can exercise rights over directly with us), and acts as the Society's Data Processor for the Society's operational data (for which the Society is the Data Fiduciary). The Privacy Policy is incorporated into these Terms by reference.

By using the Platform, you acknowledge that your personal data will be handled as described in the Privacy Policy. Where a Society is the Data Fiduciary for operational data, the Society is the primary decision-maker for that data, and you may need to exercise certain rights through your Society. We do not sell your personal data.

Disclaimers — "As Is" and "As Available"

The Platform is provided free of charge, on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, timely, secure, error-free, or free of viruses, or that any defect will be corrected, or that data will never be lost.

OkGate is a facilitation and management tool. It is not a security service, an emergency service, a payment institution, a bank, a payment aggregator, a broker, a financial or accounting adviser, or a party to your Society's community, financial, or marketplace decisions. Visitor management, gate access, SOS/panic alerts, and other safety features are provided on a best-effort basis, depend on factors outside our control (including connectivity, devices, and human action), and must not be relied upon as a substitute for professional security, emergency, medical, or law-enforcement services. In an emergency, contact the appropriate emergency services directly.

We do not guarantee the accuracy, completeness, or reliability of any Content, invoice, accounting output, report, or third-party or advertiser material available through the Platform. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Some warranties cannot be excluded under applicable law; in that case, our warranties are limited to the minimum extent permitted by law.

Limitation of Liability

To the fullest extent permitted by applicable law, and given that the Platform is provided to you free of charge, Honco (and its directors, officers, employees, and service providers) will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of, or inability to use, the Platform, even if advised of the possibility of such damages.

In particular, and without limiting the disclaimers above, we are not liable for: any loss arising from Dues, invoices, payments, refunds, or accounting handled by your Society or a payment gateway; any marketplace or resident-to-resident transaction; any act, omission, delay, or decision of a Society, committee, guard, resident, advertiser, or other third party; any failure, delay, or inaccuracy of a safety, SOS, gate, or visitor feature; or any unauthorized access resulting from your failure to safeguard your credentials.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law (including liability for death or personal injury caused by negligence, for fraud, or any statutory liability under data-protection law that cannot be contracted out of). Subject to that, the total aggregate liability of Honco to you for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amounts, if any, you have paid to Honco for the Platform in the twelve months before the event giving rise to the claim, or (b) INR 1,000. Because the core Platform is provided free of charge, you acknowledge that amounts paid to Honco will typically be nil.

Indemnity

You agree to indemnify, defend, and hold harmless Honco Pvt. Ltd. and its directors, officers, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: your use or misuse of the Platform; your Content; your breach of these Terms or of any applicable law; your violation of any third party's rights; or, if you are a Society or committee, your acts or omissions as operator (including your handling of residents', staff', and visitors' data, charges, refunds, and disputes).

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of that claim.

Suspension and Termination

You may stop using the Platform at any time, and you may close or deactivate your account (or ask your Society or us to do so). Some data may be retained after account closure as described in our Privacy Policy and as required by law or by your Society for its records.

We may suspend, restrict, or terminate your access to all or part of the Platform, with or without notice, if we reasonably believe you have breached these Terms or applicable law, if your account or conduct poses a risk to the Platform, other users, or a Society, if required by law or a competent authority, or if we discontinue the Platform or a feature. A Society may also remove or deactivate a member's access within its community.

On termination, your right to use the Platform ends. Sections that by their nature should survive termination — including provisions on Content licences, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution — will survive.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, the Platform, or your use of it (including non-contractual disputes) are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory consumer-protection rights you may have under applicable law, the courts of competent jurisdiction in India — being the courts having jurisdiction over the location of Honco Pvt. Ltd.'s registered office — will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform. You and we submit to the exclusive jurisdiction of those courts.

Before commencing formal proceedings, you agree to first contact us in good faith at grievance@okgate.co so that we can try to resolve the matter amicably.

Grievance Officer and Contact

In accordance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and applicable data-protection law, we have designated a Grievance Officer to receive and address complaints about Content, conduct, or your use of the Platform. The Grievance Officer can also answer questions about our processing of personal data for which Honco is the Data Fiduciary.

If you have a grievance — for example, about Content that violates these Terms, misuse of the Platform, or a data-protection concern — please contact us using the details below. We will acknowledge your grievance within 72 hours of receipt and endeavour to resolve it within 15 days, or within such other period as may be prescribed under applicable law (whichever is shorter). These timelines are consistent with the commitments in our Privacy Policy.

Changes to These Terms

We may update these Terms from time to time — for example, to reflect changes in the Platform, our business, or the law (including once the Digital Personal Data Protection Rules are notified, which we will reflect together with corresponding updates to our Privacy Policy). When we make material changes, we will update the version and date at the top of these Terms and, where appropriate, notify you through the Platform or by other reasonable means.

Changes take effect when posted (or on any later effective date we specify). By continuing to access or use the Platform after the changes take effect, you agree to the updated Terms. If you do not agree to the changes, you should stop using the Platform.

Miscellaneous

These Terms, together with the Privacy Policy and any data-processing agreement applicable to a Society, constitute the entire agreement between you and Honco regarding the Platform, and supersede any prior agreements or understandings on that subject.

  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
  • No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, government action, network, power, or infrastructure failures, or failures of third-party services.
  • Relationship: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Honco.
  • Notices: We may give you notices through the Platform or by email or SMS to the contact details associated with your account; you may contact us at the emails listed above.
  • Language and headings: Section headings are for convenience only and do not affect interpretation.
